Part A - About these Terms
1. Who we are and how to contactus
1.1. This Website is operated by PPLUS FZ-LLC, a company incorporated in Ras Al Khaimah with registered number 0000004090065(“we”, “us”, “our”).

2. These Terms and the documents that form part of them
2.1. These terms and conditions(hereinafter referred to as the “Terms”) form a legally bindingagreement between you and us governing your access to and use of the Websiteand your purchase of Products.
2.2. By accessing the Website, creating anAccount, submitting an Order, ticking an acceptance box, completing anyconfirmation at checkout, or otherwise using the Website, you confirm that youaccept these Terms and agree to comply with them. If you do not agree, you mustnot access or use the Website, create an Account, or submit an Order.
2.3. These Terms apply to:
(a) your access to and use of the Website;
(b) the creation and use of your Account;
(c) the submission, review, acceptance,refusal, cancellation and fulfilment of Orders;
(d) the purchase, delivery, handling, storage,return and disposal of Products; and
(e) any Product Information, warnings, labels,safety data sheets, certificates of analysis and other materials we makeavailable.
2.4. The following documents are incorporatedinto and form part of these Terms:
(a) the Restricted Use Policy (Schedule 1);
(c) the Cookie Policy and
(d) any Product-specific conditions, warningsor restrictions stated on the relevant Product page.
2.5. If there is any inconsistency, the orderof precedence is: (i) any Product-specific restriction; (ii) these Terms; (iii)the incorporated policies. Where two provisions both apply, the stricter shallprevail.
2.6. Defined terms used in theseTerms have the meaning given in clause 3.
3. Definitions and interpretation
3.1. In these Terms:
“Account” means any account you register with usto access the Website or place Orders.
“Order” means a request submitted by you topurchase one or more Products.
“Product” means any item supplied or madeavailable by us through the Website, together with its packaging, labels,seals, inserts, certificates of analysis, safety data sheets and accompanyingProduct Information.
“Product Information” means any specification,label, warning, safety data sheet, certificate of analysis, storage, handling,return or disposal information, or other information we make available inconnection with a Product.
“Prohibited Purpose” means any of the purposesset out in Schedule 1 (the Restricted Use Policy).
“Restricted Use Policy” means the policy set outin Schedule 1.
“Website” means https://www.peptideplus.io andany related webpage, subdomain, store, checkout, Account portal, returnsportal, tracking page or other online functionality we operate in connectionwith it.
“you”, “your” means the person accessingthe Website, creating an Account or submitting an Order.
3.2. Interpretation: headings are forconvenience only; “including” and “in particular” are without limitation; thesingular includes the plural; and a reference to a statute includes itssubordinate legislation and any amendment or replacement of it.
Part B — TheProducts
4. Important notice — research and analytical use only
4.1. The Products are supplied strictly andexclusively for lawful, non-clinical, non-consumption and non-administrationpurposes as research reagents, analytical reference materials, quality-controlmaterials, educational laboratory materials or other laboratory-use materials.
4.2. The Products are not supplied for, andyou must not use them for, any human or animal consumption, medical,veterinary, therapeutic, diagnostic, cosmetic, food, supplement,performance-enhancement, bodybuilding, weight-loss, anti-ageing, tanning,fertility, sexual-enhancement, wellness or other in vivo use.
4.3. You must not ingest, inject, inhale,insufflate, apply topically or transdermally, implant, administer, dose,compound or formulate for administration, or otherwise introduce any Productinto or onto any human or animal.
4.4. The Website is not a medical,pharmaceutical, veterinary, cosmetic, supplement, wellness or therapeuticservice, and nothing on it is an offer or invitation to use any Product for anysuch purpose.
5. Product status and no medicinal presentation
5.1. No Product is supplied as a medicinalproduct, prescription or over-the-counter medicine, veterinary medicine, food,food ingredient or supplement, cosmetic, medical device, in vitro diagnosticdevice, or any product intended to affect, restore, correct or modifyphysiological functions in humans or animals.
5.2. No Product name, molecule name,scientific reference, purity or concentration statement, image, certificate ofanalysis, customer review or third-party publication on the Website is, or maybe relied on as:
(a) a medical, veterinary, therapeutic,diagnostic, nutritional, cosmetic, pharmacological or safety claim;
(b) a recommendation to use any Product in oron a human or animal;
(c) evidence that any Product is safe,effective, lawful or suitable for human or animal use; or
(d) instructions for dosage, administration,treatment, self-experimentation, veterinary use, compounding or formulation.
5.3. You must not rely on the Website asmedical, pharmaceutical, veterinary, nutritional, cosmetic, toxicological,legal, regulatory or other professional advice.
6. Prohibited Purposes
6.1. You must not, directly or indirectly,use, attempt to use, permit, enable, facilitate, assist, encourage, advertise,promote, recommend, instruct on, resell, transfer, supply, gift, export orotherwise deal with any Product for any Prohibited Purpose.
6.2. Prohibited Purposes are the purposes setout in Schedule 1 (the Restricted Use Policy), which forms part of these Terms.
6.3. You must not request from us, or post ortransmit through the Website, any information seeking or providing dosage,administration, injection, ingestion or other route-of-use instructions, humanor animal use protocols, cycle or stack information, reconstitution orpreparation instructions for administration, expected body-composition,performance, therapeutic or cosmetic outcomes, advice on avoiding detection byany authority, sports body, customs, regulator or enforcement body, or anyother assistance relating to a Prohibited Purpose.
6.4.You must not purchase, receive, store,transport, return or dispose of any Product where you know, suspect or oughtreasonably to suspect that it will be used or supplied for a ProhibitedPurpose.
6.5. Any breach of this clause 6 isa material breach of these Terms.
7. Product Information, safety andhandling
7.1. Products may be hazardous, biologicallyactive, irritant, allergenic, unstable, temperature- orcontamination-sensitive, unsuitable for untrained handling, or subject to legalrestrictions. Before ordering, opening, handling, storing, transporting, using,returning or disposing of any Product, you must review and follow all ProductInformation, labels, warnings and safety data sheets applicable to it.
7.2. You are solely responsible for handling,storing, securing, transporting, using, returning and disposing of Productssafely and lawfully, for keeping them out of the reach of children, animals andany person who may misuse them, and for ensuring that any person who handlesthem is competent to do so.
7.3. You must not open, handle, or use aProduct where the Product or its packaging appears damaged, leaking, open,tampered with, unsealed, contaminated, degraded, temperature-compromised, mislabelledor past its expiry or retest date, or otherwise appears unsafe.
8. Safety issues, recalls andcorrective action
8.1 We may issue safety notices, quarantine,return or disposal instructions, withdrawals, recalls or other correctiveactions where we consider it appropriate.
8.2 If we do so, you must follow ourinstruction promptly and must not use, transfer, resell or further handle therelevant Product except as we instruct.
8.3 We may contact you for safety, recall,compliance, legal or regulatory reasons using the details associated with yourAccount or Order.
Part C — Buyingfrom us
9. Eligibility
9.1 You may use the Website and purchaseProducts only if you confirm that you:
(a) are at least 18 years old and have legalcapacity, and (where you act for an organisation) authority to enter into theseTerms ;
(b) provide accurate, complete andnon-misleading information;
(c) are located in, and will import into, ajurisdiction where your purchase, receipt, possession, storage, handling, useand disposal of the Product are lawful;
(d) will use the Product only for lawfulpermitted research, analytical, reference, quality-control or educationalpurposes and never for a Prohibited Purpose;
(e) are competent to receive, store, handle anddispose of the Product safely and lawfully; and
(f) will comply with all applicable law and allProduct Information.
9.2 You must not use false details, aliases,proxy purchasers, reshipping services, mail drops, parcel lockers, freightforwarders, payment intermediaries or other arrangements to circumvent theseTerms or our compliance controls.
10. Compliance information and verification
10.1 We may require additional informationbefore accepting or fulfilling an Order, including age and identityconfirmation, delivery-address, intended-use, end-user,jurisdictional-compliance, research-purpose, safety-handling and non-resaleconfirmations, and any other information reasonably required for compliance,fraud prevention, safety, product stewardship, sanctions, customs or exportcontrol.
10.2 Any check we carry out does not reduceyour obligations or warranties under these Terms or applicable law, and youremain solely responsible for the accuracy of the information you provide andfor your compliance with applicable law.
11. Orders,acceptance, refusal and cancellation
11.1 Product listings are an invitation totreat and not an offer. When you submit an Order you make an offer to purchaseon these Terms.
11.2 All Orders are subject to acceptance byus. Submission of an Order, completion of checkout, an automaticacknowledgement of receipt, or authorisation or receipt of payment, does notoblige us to accept, process, dispatch or fulfil it.
11.3 A contract is formed only when weexpressly accept the Order or confirm dispatch in writing. Until then nocontract exists, and we may decline without obligation.
11.4 We may refuse, cancel, suspend, delay,limit, refund or seek further information on any Order before acceptance wherewe reasonably consider it appropriate for legal, regulatory, safety,misuse-prevention, fraud, payment, customs, export, sanctions, availability,product-integrity, operational or other legitimate reasons. We may accept orreject an Order in whole or in part.
11.5 We may correct manifest errors indescriptions, availability, pricing, taxes, delivery charges or technicalinformation before accepting an Order. The checkout process allows you toreview and correct input errors before submitting.
12. Checkoutconfirmations
12.1 We may require you to completeconfirmations, declarations or acknowledgements before placing or completing anOrder, relating to age, acceptance of these Terms, research-only use, non-consumption,non-administration, Prohibited Purposes, acceptance of the Restricted UsePolicy (Schedule 1), local legality, Product Information, safety and storagerequirements, and non-resale.
12.2 Where required, completion of thoseconfirmations is a material condition of sale. Any false, inaccurate,incomplete or misleading confirmation may result in refusal or cancellation,Account restriction, refusal of future sales and any other remedy available tous under these Terms or applicable law.
12.3 We may retain records of thoseconfirmations, together with Order and Account data, timestamps, IP address,Product pages viewed, the version of Terms accepted and related communications,for legal, compliance, product-safety, fraud-prevention, recall, dispute-resolutionand enforcement purposes, in accordance with our Privacy Notice and applicablelaw.
13. Prices,taxes and payment
13.1 Product prices, applicable VAT or othertaxes, delivery charges and any other charges that can reasonably be calculatedwill be shown before you place the Order.
13.2 Unless we expressly state otherwise atcheckout, you are responsible for any import duties, taxes, customs charges,brokerage or other charges imposed in the destination jurisdiction.
13.3 Payment must be made by the methods shownat checkout. Title to a Product passes to you on our receipt of payment infull; risk passes on delivery to you or to a person you nominate to receive it.
14. Delivery,customs and import compliance
14.1 Delivery options, costs and estimatedtimes are stated at checkout. Delivery times are estimates only and time is notof the essence unless we expressly state otherwise in writing.
14.2 We may refuse delivery to countries,regions, addresses, reshipping services, freight forwarders, parcel lockers ortemporary addresses where delivery may be unlawful, unsafe, restricted orcommercially inappropriate.
14.3 You are responsible for ensuring theProduct may lawfully be imported, received, possessed, stored, used, returnedand disposed of in the destination jurisdiction, and for providing accuratedelivery details and cooperating with any signature, age- oridentity-verification, customs or import requirements.
14.4 Subject to clause 17, we are not liablewhere a Product is delayed, detained, seized, rejected, destroyed, returned orinspected by customs or another authority because of your inaccurateinformation, failure to comply with applicable law, non-payment of duties orattempted unlawful import, except to the extent the loss is caused by ourbreach of these Terms.
15. Productssupplied “as is”
15.1 To the fullest extent permitted byapplicable law, the Products are supplied on an “as is” and “as available”basis, and all warranties, conditions, terms, guarantees and representations ofany kind, whether express, implied or statutory (including as to satisfactoryor merchantable quality, fitness for any purpose, conformity with description,sample or Product Information, accuracy, or non-infringement), are excluded.
15.2 Without limiting clause 15.1, no Product issupplied with any promise or warranty that it is suitable for any particularexperiment, assay, protocol, method, or research, analytical, biological,pharmacological, therapeutic or diagnostic result, or for any human or animaluse or any Prohibited Purpose. You are solely responsible for inspecting eachProduct on delivery and for satisfying yourself, before ordering and use, thata Product is suitable for your intended lawful purpose.
16. Cancellationand Returns
Subject to clause 17, oncewe have accepted an Order it cannot be cancelled by you, and Products may notbe returned, exchanged or refunded, and no credit will be given, except at oursole and absolute discretion. Where we choose, as a goodwill gesture, to accepta return or to provide a replacement, refund or credit, we may impose such conditionsas we think fit, it is not an admission of any obligation or liability on ourpart, and it constitutes our entire liability to you in respect of the relevantProduct. You must not return any Product without our prior writtenauthorisation, and in no event may you return any Product that has been opened,unsealed, used, tampered with, contaminated or temperature-compromised.
Part D — Liabilityand risk allocation
17. Liabilitythat we do not exclude
17.1 Nothing in these Terms excludes or limitsour liability where it would be unlawful to do so. In particular, nothing inthese Terms excludes or limits our liability for:
(a) death or personal injury caused by ournegligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot be excludedor limited under applicable law.
17.2 The remaining provisions of this Part Dapply only to the extent permitted by applicable law and are subject to clause17.1. If any limitation or exclusion in this Part D is held unenforceable, itapplies to the maximum extent permitted, and its unenforceability does notaffect the remaining provisions (see clause 27.2).
18. Ourliability
18.1 Subject to clause 17, our total aggregateliability arising out of or in connection with any Order, Product, Account, useof the Website, Product Information, customer communication, these Terms or anyrelated matter, whether in contract, tort (including negligence), breach ofstatutory duty, misrepresentation or otherwise, is limited to the total amountactually paid by you to us for the Order giving rise to the claim.
18.2 Subject to clause 17, we are not liablefor loss of profit, revenue, goodwill, anticipated savings, data, opportunityor reputation, or for any indirect, consequential, special or punitive loss.
18.3 Subject to clause 17, we are not liablefor any loss, damage, injury, illness, adverse event, contamination,degradation, liability, claim, penalty, cost or expense to the extent arisingout of or in connection with:
(a) your breach, attempted breach orcircumvention of these Terms;
(b) any false, inaccurate, incomplete ormisleading information, confirmation or declaration provided by you;
(c) any Prohibited Purpose, or any use outsidethe permitted research, analytical, reference, quality-control or educationalpurpose;
(d) any administration to, or use in or on, anyhuman or animal by any route or method, or any self-experimentation;
(e) any reconstitution, dilution, mixing,compounding, formulation, repackaging, relabelling, modification or combinationof a Product;
(f) any unlawful import, export, possession,handling, storage, transport, use, transfer, resale, disposal or onward supplyof a Product;
(g) your failure to follow Product Information,labels, warnings, safety data sheets, storage, handling, return, disposal,quarantine or recall instructions or safety notices;
(h) use after expiry or retest date, sealbreach, opening, tampering, contamination, improper storage or handling,temperature compromise or loss of chain of custody;
(i) reliance on the Website or ProductInformation as medical, pharmaceutical, veterinary, nutritional, cosmetic,toxicological, legal, regulatory or other professional advice; or
(j) acts or omissions of third parties(including customs authorities, regulators, carriers, payment providers, endusers or onward recipients), except to the extent we are legally responsiblefor them.
18.4 You acknowledge that the Products arepotent, research-grade materials that may be hazardous and whose properties andeffects may not be fully characterised, and that you purchase, receive, handle,store, use, transfer and dispose of them entirely at your own risk. To thefullest extent permitted by applicable law, you assume all risk and liabilityarising out of or in connection with the Products and their handling, storage,use and disposal, and your sole and exclusive remedy in connection with anyProduct or Order is limited to such remedy (if any) as we elect to provideunder clause 16.
19. Yourresponsibility to us
19.1 You are responsible for your own acts andomissions in relation to any Product, including any unlawful, unsafe,unauthorised, negligent, reckless, intentional or prohibited purchase, import,receipt, possession, handling, storage, transport, use, transfer, resale,disposal or onward supply.
19.2 To the maximum extent permitted byapplicable law, you must indemnify and keep indemnified, and hold harmless, usand our affiliates, and our and their directors, officers and employees harmlessagainst all losses, liabilities, damages, penalties, fines, claims,proceedings, recall and corrective-action costs, and professional and legalcosts, arising out of or in connection with:
(a) your deliberate, negligent, reckless orunlawful breach of these Terms;
(b) any false, inaccurate, incomplete ormisleading information or confirmation provided by you;
(c) any Prohibited Purpose, or any use outsidethe permitted purpose;
(d) any administration to, or use in or on, anyhuman or animal, or any self-experimentation;
(e) any unlawful import, export, possession,handling, storage, transport, use, transfer, resale, disposal or onward supplyof a Product;
(f) your failure to follow Product Informationor safety, return, disposal or recall instructions;
(g) misuse of our name, trademarks, images,certificates, batch data, Website content or other intellectual property; or
(h) any third-party claim arising from youract, omission, breach or misuse in relation to a Product.
This clause 19 does not require you to indemnifyus for any loss to the extent it is caused by our own negligence or breach ofthese Terms.
19.3 You must provide reasonable cooperation,information and documents we request in connection with any relevant claim,complaint, investigation, enforcement action, chargeback or safety issue, andmust not settle, compromise or admit liability on our behalf without our priorwritten consent.
19.4 This clause 19 survives termination,cancellation, fulfilment or completion of any Order and closure of any Account.
Part E — General
20. Websiteacceptable use
20.1 You must not use the Website unlawfully orfraudulently, bypass our compliance controls, scrape or extract content,interfere with its security or operation, upload harmful code, use bots or automatedpurchasing tools, submit false or misleading information, or use the Website topromote, facilitate or discuss any Prohibited Purpose.
20.2 We may suspend or terminate your access tothe Website or your Account where we reasonably suspect breach, attemptedbreach, misuse, regulatory or product-safety risk, fraud, chargeback abuse,sanctions risk, false information, a Prohibited Purpose or attemptedcircumvention.
21. Intellectualproperty and Product Labelling
21.1 All Website content, trademarks, logos,Product descriptions and images, technical materials, certificates, layout,software and databases are owned by or licensed to us, and all intellectualproperty rights in them remain our property or that of our licensors.
21.2 You may use Website content only forlawful purposes connected with considering or making a purchase, and must notcopy, reproduce, distribute, sell, exploit, modify, adapt or scrape it, or useit for any unauthorised commercial purpose, unauthorised resale or ProhibitedPurpose, without our prior written consent.
21.3 You must not, and must not permit any third party to, remove,deface, alter, obscure, tamper with, falsify or otherwise interfere with anylabel, marking, warning, batch or lot number, seal, certificate, safety datasheet, Product Information or any “research use only” or “not for human oranimal consumption” statement on, affixed to or accompanying any Product; norapply any additional or replacement labelling, marking or claim; nor repackage,re-present or describe any Product in any manner inconsistent with its ProductInformation or these Terms.
21.4 Ournames, trademarks, service marks, logos, trade dress, domain names, Productimages, certificates, batch data and other brand features (together, the “Marks”)are owned by or licensed to us and remain our exclusive property, and youacquire no right, title, licence or interest in them. You must not use,register or apply to register, reproduce, imitate or incorporate any of theMarks (or any name, sign or mark confusingly similar to them), whether as orwithin a trademark, trading name, domain name, social-media handle, advertisingkeyword or metatag or otherwise; must not use them to market, advertise,promote, resell or supply Products or any other goods or services; and must notuse them in any manner likely to suggest any association with, or endorsement,sponsorship or approval by, us, in each case without our prior written consent.All goodwill arising from any permitted use accrues to us.
22. Third-partymaterials, services and Affiliates
22.1 The Website may refer or link tothird-party materials, publications, databases, payment or courier services orother tools, provided for general context or operational purposes only.
22.2 We do not control and, except to theextent required by applicable law or where we are legally responsible for them,are not responsible for third-party materials or services. References toscientific materials are not medical, veterinary, therapeutic, diagnostic,safety, efficacy, dosage, administration, warranty, endorsement or suitabilityclaims.
22.3 We may be promoted by third-partyaffiliates, publishers, influencers, bloggers, review sites, social-mediaaccounts, advertising networks and other marketers (each a “Third-PartyPromoter”). Each Third-Party Promoter is independent and acts on its ownaccount. No Third-Party Promoter is our agent, employee, partner orrepresentative, and none has any authority to make any statement, claim,promise, representation or warranty on our behalf or to bind us in any way.
22.4 We do not author, control, monitor, verify,approve or adopt, and we are not responsible or liable for, any content, claim,statement, representation, offer, price, review, endorsement, recommendation,link or conduct of any Third-Party Promoter or on any third-party website,platform or social media, whether or not it relates to us or the Products. Allsuch material is the sole responsibility of the person who made or published it
22.5 To the fullest extent permitted byapplicable law: (a) only these Terms and the information we publish on theWebsite are binding on us, and you must not rely on any statement or materialof a Third-Party Promoter or other third party as having been made, authorised,verified or endorsed by us; (b) you access and rely on any third-party materialentirely at your own risk, and your sole recourse in respect of any Third-PartyPromoter or third-party content is against the person responsible for it andnot against us; and (c) we give no warranty and accept no liability of any kindfor any Third-Party Promoter or third-party material, or for any loss or damagearising from your reliance on it.
23. Dataprotection, cookies and records
23.1 We process personal data in accordancewith our Privacy Notice and use cookies and similar technologies in accordance with our Cookie Policy.
23.2 We may process and retain informationrelating to Accounts, Orders, acknowledgements, compliance responses,product-safety matters, complaints, recalls, delivery, customs issues,disputes, chargebacks and suspected misuse where necessary for legalcompliance, performance of the contract, our legitimate interests, fraudprevention, product safety, recall management, dispute resolution andenforcement.
23.3 We may disclose information where legallyrequired or reasonably necessary to comply with applicable law, respond tocompetent authorities, manage product-safety issues, investigate suspectedmisuse, prevent fraud, enforce these Terms or protect our rights, customers orthird parties.
24. Sanctions,export control and anti-bribery
24.1 You confirm that you, and any person onwhose behalf you act, are not subject to applicable trade or economic sanctionsand are not located in or ordinarily resident in a comprehensively sanctionedterritory, and that your purchase, import and use of the Products will complywith all applicable sanctions, export-control and anti-bribery laws.
24.2 We may refuse, suspend or cancel anyOrder, or suspend or terminate your Account, where we reasonably consider thatproceeding would breach, or create a risk under, any applicable sanctions,export-control or anti-bribery law.
25. Changesto the Website and these Terms
25.1 We may update the Website, Product pages,Product Information and these Terms from time to time. The Terms in force whenyour Order is accepted apply to that Order.
25.2 We may make immediate changes wherenecessary for legal, regulatory, safety, technical, fraud-prevention, product-stewardship,operational or compliance reasons.
26. Governinglaw and jurisdiction
26.1 These Terms and any dispute or claimarising out of or in connection with them or their subject matter (includingnon-contractual disputes) are governed by the laws of the United Arab Emirates.These Terms are drawn up in English; if translated for any proceedings, theEnglish version prevails to the extent permitted by law.
26.2 The courts of the Emirate of Ras AlKhaimah, United Arab Emirates, shall have exclusive jurisdiction over anydispute or claim arising out of or in connection with these Terms or theirsubject matter.
27. General
27.1 Assignment. We may transfer ourrights and obligations under these Terms to another organisation.
You may nottransfer yours without our prior written consent.
27.2 Severability. If any provision isinvalid, unlawful or unenforceable, the remaining provisions continue in force,and the affected provision is treated as modified to the minimum extentnecessary to make it valid and enforceable, where permitted by law.
27.3 No waiver. A delay or failure by usto enforce a right is not a waiver of it.
27.4 Force majeure. We are not liablefor any failure or delay in performance to the extent caused by events beyondour reasonable control.
27.5 No third-party rights. Except asexpressly stated (including the indemnities in clause 19 for the benefit of thepersons named there), these Terms do not give rights to any person who is not aparty.
27.6 Entire agreement. These Terms, theorder confirmation, the Product Information and the incorporated policies formthe entire agreement between you and us and supersede any prior arrangement,and you confirm that you have not relied on any statement or representation notset out in them.
27.7 Survival. Clauses 6, 17, 18, 19, 21, 23and 26, and any other provision intended to survive, continue in effect aftertermination, cancellation or completion of any Order or closure of any Account.
Schedule 1 — Restricted Use Policy
This Restricted Use Policyforms part of the Terms. The Products must not be used, supplied or madeavailable for any of the following purposes:
